How to set up a business in the Netherlands?

If you would like to create more possibilities for yourself, setting up a business in a country where all these giants are established might be just what you need. Firstly, you will need to provide us with some necessary information and documentation, which always consists of a valid form of identification, the names of all future shareholders, a valid Dutch company registration address and the preferred name of your company. If you already own a company with a certain name, but that name is already in use in the Dutch Chamber of Commerce, you will have to alter it slightly to avoid any form of copyright infringement. 

Once we have checked all the documents and approved their validity, we either go to a notary public to incorporate your company, or register it directly in the Dutch Trade Register. Which option applies to you is dependent on the type of company you want to establish. Some company types require incorporation via a notary, whilst others are labeled as so-called ‘unincorporated companies’, which can be registered with the Chamber of Commerce directly. We will elaborate on this choice in the paragraph below. After all these steps are taken, you have to deposit the share capital (in the case you establish a Dutch BV or subsidiary) and then you obtain your official registration number and VAT number. Once you also open a Dutch bank account, you are ready to do business.  

The difference between a sole Dutch BV, a subsidiary and a branch office

As we already discussed above, there are several company types and structures you can choose from. There are unincorporated company types that do not require a notary, which might seem beneficial at first glance because you can save a bit of money that way. One such company type is the sole proprietorship, but a branch office is also considered to be unincorporated. These company types have some disadvantages, though. The main disadvantage is that you can personally be held liable for any debts you create with your company in the Netherlands. This is mainly the reason why 99% of all entrepreneurs we deal with choose the Dutch BV, a holding structure or a subsidiary. 

Where a branch office is only seen as an administrative extension of your current company, which is not a legal entity, a subsidiary holds the same rights and duties as a Dutch BV. A Dutch BV can be compared to a private limited liability company, which does provide you with limited liability when it comes to company debts. The difference between a Dutch BV and a subsidiary is that a subsidiary officially falls under the umbrella of your current foreign company, whereas a Dutch BV will be a completely separate new legal entity. You can also choose to incorporate a BV holding structure, in which you will have one BV that will hold all your assets and one or more subsidiaries that fall under this holding. This makes it easy to spread financial risks, and will also offer you interesting tax benefits. 

Which option works best for you?

To be able to know which choice will work best in your situation, you should consider whether you want to expand an already existing company, or start an entirely new company. In the case where you already own a successful company and would like to expand your presence abroad, establishing a subsidiary under your current company might be the best option. This will have the same structure as a Dutch BV, but it will be tied to your foreign company. If you want to establish a new Dutch company, we strongly advise to either choose the Dutch BV, or a BV holding structure, depending on your specific needs and ambitions. In our experience it works best to start with a single BV if you are a startup, to see where the future takes you. Once you achieve success, you can consider expanding your BV into multiple subsidiaries, making it possible to spread and allocate assets and risks.
