Characteristics of the Netherlands as a business location
Next to innovative sectors and a multitude of different business options, Holland has much more to offer. Some highlights:
- When you form a company in the Netherlands, you are also joining the European Union. This might prove to be beneficial for various reasons. Currently, a lot of Brits might have a good shot of continuing their business by opening a subsidiary or branch office in the Netherlands to stay within the borders of the EU
- Being in the EU, you profit from the European Single Market. This means you can freely export and import goods and services within the entire EU zone
- The Dutch workforce is highly skilled and mostly bilingual, making it very easy for you to find the best employees for your business
- The Dutch have one of the largest economies in the world, while being one of the smallest countries at the same time. You will have access to a highly developed and huge worldwide infrastructure, with the port of Rotterdam and Schiphol at your immediate disposal
- The total costs for registering a company in the Netherlands are very low compared to other (neighboring) countries
- The Netherlands has a large amount of skilled and knowledgeable freelancers, which you can easily hire via various freelance initiatives or platforms
The various business types in the Netherlands
Once you know for sure that you want to start a Dutch company, you can research your options further by exploring all the various business types in the Netherlands. There are a large amount of business types and legal entities to choose from, depending on the size of your business and your specific plans. You can choose from unincorporated and incorporated business structures. If you choose an unincorporated structure, you need to keep in mind that you will personally be held accountable for any debts your company makes. This is why most entrepreneurs choose an incorporated business structure. This will enable you to limit the amount of personal risksince the company itself will be held liable in the case of debts and issues and not you personally. Nonetheless, we have enlisted all business types below, so you can do some research before picking a certain legal entity.
Unincorporated business types
- Sole proprietorship
- General partnership
- Limited partnership
- Professional partnership
Incorporated business types
- Private limited liability company (BV)
- Public limited liability company (NV)
- Association
- Cooperative and mutual insurance society
- Foundation
- Denomination
- Foreign legal forms
Dutch business structures explained
Which type of company is most suitable for foreign entrepreneurs?
As discussed above, choosing an incorporated business type allows you to enjoy limited personal liability for any debts you might create with your company. Keep in mind that you will be held accountable if the effect of your choices is obvious, for example, in the case of improper management. If you choose to not file a tax return, this will inevitably result in fines and reprimands. If you do this too often, the burden is on you, as it is your responsibility to take care of such matters in a timely fashion. Intercompany Solutions can assist you with your periodical tax return, making it easier for you to comply with all Dutch laws.
The Dutch BV is by far the best option for anyone who wants to set up a business from abroad, as this can be arranged entirely remotely. Some company types require you to physically live in the Netherlands as a tax resident, such as a sole proprietorship. Next to that, Dutch corporate income tax is relatively low when compared to the various tax rates in Europe. If you choose to incorporate a Dutch BV, you will benefit from this, as well as many interesting tax incentives and exceptions. Feel free to ask us for more in-depth information about the Dutch BV at any time.
The step-by-step process of company registration in the Netherlands
Step 1
We will first check the identities of all future shareholders, including all the documents you send in. If you already have a preferred name for your business, we can check its availability during this step for you. If the company name is unavailable, you will need to come up with an alternative due to intellectual property rights.
Step 2 to 5
After all the documents are checked and correct, we proceed to prepare all the documents to incorporate your company. We will send these for you to sign using a legalized signature, after which you need to return the papers to us. Once all the signed documents are legalized and received, we start the formal registration procedure. The deed of incorporation is signed by a notary public, and you will now need to deposit the minimum share capital. After the deed is signed by the notary, the Dutch company registration will be submitted to the Dutch Chamber of Commerce. Once this step is done, you will receive your company registration number. This is the identification number of your Dutch business.
Step 6
We assist you with the application for a bank account on the same day.
Step 7 to 8
Once these steps are finished, you will receive your company VAT application number. This is the VAT identification number of your Dutch business, which can be used to invoice customers. At this point, you can start your business activities, as you own a registered Dutch business.
Practical information: required permits
If you are enthusiastic about the Netherlands, there are some details you will need to take care of first. Having all documentation ready is a necessity, and this might include certain permits, depending on where you currently live and what type of business you want to establish. If you are an EU citizen, you can start a company immediately. As a non-EU citizen, you need a permit according to Dutch immigration law.
