What is the Dutch trade registry, and why is registration mandatory for all Dutch businesses?
The Dutch trade register is the main register in which all Dutch companies are listed. All companies, legal entities and organizations that participate in economic activity are registered in the trade register. It is a public register that is consulted millions of times every year. The register is important for legal certainty in trade. You can see who you are dealing with, who is authorized to sign, and whether there has ever been a bankruptcy. This way, you have legal certainty when doing business. An accurate and up-to-date trade register is of great importance for legal certainty when doing business. That is why high demands are placed on the quality of the so-called authentic data. These are the data that the legislator has determined must be recorded in the trade register. These include, for example, the trade name, Chamber of Commerce number, owner details, address and legal form.

It is required by law for all Dutch businesses to register their new company officially in the company registry. The company registry is maintained by the Dutch Chamber of Commerce (”Kamer van Koophandel” in Dutch). To request a VAT number, open a bank account, or perform any official company action, your company needs to be registered with the Chamber of Commerce. On the website of the Chamber of Commerce, you can download an extract of your company registration. The company extract will show information regarding data such as your company address, the director(s), contact information and trade names. Many banks and other big institutions have access to (parts) of the database of the Chamber of Commerce through their company information systems. This means that you can only open a bank account, after your registration at the Chamber of Commerce is completed. The BV share capital can also only be paid after the bank account is opened.

As we already discussed briefly above, registration in the Dutch corporate registry requires that you provide a valid Dutch business address. You can easily acquire an address by either renting or buying an office space in the country at a location to your liking. Alternatively, you can look for companies that provide valid business registration addresses, which you can rent monthly. Be sure to ask the company if it’s possible to physically work at the location they use as a registration address, since this is one of the criteria that the Chamber of Commerce requires you to comply with. You need to be able to prove that you can perform your daily business activities at the address that you provide for it to be legally acceptable. If you browse online a bit, you should be able to find a trustworthy company that provides such services for a small monthly fee.
A registered business in the Netherlands brings many benefits. One of the most popular reasons to opt for registration in the country is the local system of taxation. The country has developed an extensive network of tax treaties worldwide, which makes it easy and efficient to trade internationally. The presence of both the port of Rotterdam and Schiphol airport within a 2-hour drive of each other only adds to the possibilities in this regard. But perhaps the most attractive characteristic is the 15% corporate income tax rate for profits up to 395,000 EUR. This rate is increased to 25.8% for all amounts above this threshold. The value-added tax authorities in the Netherlands are generally open to constructive discussions regarding your tax status. They are willing to prepare Advance Agreements on Pricing and/or Tax Rulings to mitigate the issue of uncertainty for the liabilities of companies included in the Dutch corporate registry. Registering A BV Company In The Netherlands Corporate Registry
As we already mentioned several times, by far the most popular company type for foreign entrepreneurs in the Netherlands is the Dutch ‘BV company’. The Dutch BV company is comparable to a private limited liability company. A BV has its own legal rights, and the owners and directors are not liable for the actions of the BV company, which is one of the greatest benefits of this particular company type. The BV company can be formed with as little as a €1 share capital deposit since the introduction of the so-called “Flex-BV”. This has to do with the regulations that came into effect on October 1, 2012, making it easier to open a BV company for almost everyone, as the previously mandatory share capital used to be as high as 18,000 EUR. This makes a BV company much more accessible to a wider audience.
To register a Dutch BV, you definitely need a Dutch incorporation agent to assist you with the process. Some of the steps might be too complicated for a foreigner to perform, which is why a trustworthy third party should assist you. A good incorporation agent is specialized in working with foreign entrepreneurs and the particularities of forming a Dutch BV as a foreigner. For example, the incorporation agent has to perform due diligence on the client, identify the client and prepare incorporation forms. The incorporation forms will be certified by a notary public and published in the Dutch company registry. When the company registrar has the information for the new BV company, he will publish it immediately on the website of the Dutch Chamber of Commerce. The BV is fully incorporated when the notary has passed the deed of incorporation, the company registry has published the information and the shareholders have paid up the share capital to the BV company bank account.
The Dutch BV company registration procedure
Once we have all the documents, we will go to a notary public, who will prepare and draft the deed of incorporation. You will also need to deposit the share capital at this point, either into your own corporate bank account if you have one already or into a bank account specified by the notary public. If you cannot be physically present in the Netherlands, you can provide us with a power of attorney to carry out these actions in your name. Once the deed of incorporation is finished, we go to the Dutch Chamber of Commerce and register your company officially in the trade register. You also receive a VAT-number at this point, with which you can start your daily business activities.
